Platform overview

NeedRoute operates an AI-powered B2B matching platform that connects businesses seeking services ("Buyers") with vetted service providers ("Providers"). Our services include intelligent matching, consultation, project oversight, and quality assurance.

Role of NeedRoute

NeedRoute acts as a facilitator and consultant, not as an employer, agent, or partner of either Buyers or Providers. We do not guarantee the outcome of any project or engagement facilitated through our platform.

Registration

To use certain features of our platform, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary.

Account security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

Account termination

We reserve the right to suspend or terminate accounts that violate these terms, engage in fraudulent activity, or for any other reason at our discretion.

Project submissions

Buyers may submit project requirements through our platform. You represent that all information provided is accurate and that you have the authority to engage providers for the described work.

Matching process

NeedRoute will use reasonable efforts to match you with suitable providers based on your requirements. We do not guarantee the availability of providers or that matches will meet your expectations.

Engagement and payment

Buyers contract directly with Providers for services. Payment terms, deliverables, and project scope are agreed upon between Buyer and Provider. NeedRoute may charge separate fees for matching and oversight services.

Buyer responsibilities

Buyers are responsible for clearly communicating requirements, providing timely feedback, making payments as agreed, and treating Providers professionally and respectfully.

Application and vetting

Providers must complete our vetting process to join the NeedRoute network. We reserve the right to reject applications or remove Providers from our network at any time.

Representations

By joining our network, you represent that all information provided about your qualifications, experience, and portfolio is accurate and that you have the legal right to provide the services you offer.

Service delivery

Providers agree to deliver services professionally, meet agreed-upon deadlines, communicate proactively with Buyers, and maintain the quality standards expected of our network.

Fees and payment

Providers receive payment directly from Buyers according to terms agreed in their engagement. NeedRoute may charge platform fees as outlined in our pricing documentation.

Platform fees

NeedRoute charges fees for its matching and oversight services. Current fee structures are available on our Pricing page. We reserve the right to modify our fees with reasonable notice.

Payment terms

All fees are due as specified in your agreement with NeedRoute. Late payments may result in service suspension and may incur additional charges.

Refunds

Refund policies vary based on the service and circumstances. Please contact us to discuss specific situations.

NeedRoute property

The NeedRoute platform, including its design, features, content, and technology, is owned by NeedRoute and protected by intellectual property laws. You may not copy, modify, or distribute our platform without permission.

User content

You retain ownership of content you submit to our platform. By submitting content, you grant NeedRoute a license to use, display, and distribute such content as necessary to provide our services.

Project work

Intellectual property rights in work produced through engagements facilitated by NeedRoute are determined by agreements between Buyers and Providers, not by NeedRoute.

You agree not to: (a) violate any laws or regulations; (b) infringe on the rights of others; (c) submit false or misleading information; (d) circumvent NeedRoute to avoid platform fees; (e) harass, abuse, or harm other users; (f) attempt to access accounts or systems without authorization; (g) use our platform for any fraudulent or illegal purpose; (h) interfere with the proper functioning of our platform.

Service availability

We strive to maintain platform availability but do not guarantee uninterrupted access. We may modify, suspend, or discontinue services at any time.

No guarantees

NeedRoute provides its services "as is" without warranties of any kind. We do not guarantee the quality, accuracy, or outcomes of matches or engagements facilitated through our platform.

Third-party relationships

NeedRoute is not responsible for the actions, services, or content of Buyers, Providers, or any third parties. Engagements are conducted at your own risk.

To the maximum extent permitted by law, NeedRoute and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services. Our total liability for any claims shall not exceed the fees paid by you to NeedRoute in the twelve months preceding the claim.

You agree to indemnify and hold harmless NeedRoute and its affiliates from any claims, damages, losses, or expenses (including legal fees) arising from your use of our services, violation of these terms, or infringement of any rights of third parties.

Informal resolution

We encourage you to contact us first to resolve any disputes informally. Many issues can be resolved quickly through direct communication.

Arbitration

Any disputes that cannot be resolved informally shall be settled by binding arbitration in accordance with applicable arbitration rules. You agree to waive any right to participate in class actions.

Governing law

These terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles.

Entire agreement

These Terms of Service, together with our Privacy Policy, constitute the entire agreement between you and NeedRoute regarding use of our services.

Severability

If any provision of these terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

Waiver

Our failure to enforce any provision of these terms shall not constitute a waiver of that provision or any other provision.

Assignment

You may not assign your rights or obligations under these terms without our written consent. We may assign our rights and obligations without restriction.
